Instructor Partnership Terms and Conditions
By becoming an instructor with AMZ VA Academy (the “Company”), you (“Instructor”) hereby acknowledge and agree to adhere to these Terms and Conditions. These Terms outline your responsibilities and govern your use of the Company’s platform, including, but not limited to, course creation, marketing activities, and financial arrangements.
1. Scope of Services
1.1 Course Development
The Instructor is solely responsible for developing their own course content and learning materials, which will be offered on the Company’s platform.
1.2 Pricing
The Instructor agrees to conduct a competitor pricing analysis to determine the appropriate course fees. The Company may request details of the pricing structure for verification and transparency purposes.
1.3 Scheduling
The Instructor will have the autonomy to schedule training sessions based on their availability, while ensuring alignment with the Company’s platform requirements.
1.4 Marketing Materials
The Instructor is responsible for creating their own marketing materials. These materials will be shared with the Company for marketing purposes only, and may be displayed on the Company’s website and social media platforms. The Instructor’s portfolio may also be used for promotional purposes by the Company.
1.5 Platform Use
The Instructor is granted permission to utilize the Company’s Google Meet account, Facebook page, Facebook Group, and other materials provided by the Company for marketing and course delivery purposes.
1.6 Branding Guidelines
The Instructor may promote their courses on their own platforms using AMZ VA Academy’s branding under the following conditions:
- The branding is used exclusively for marketing courses offered through the Company.
- All marketing materials must be in compliance with the Company’s values and branding standards.
- The Instructor must refrain from having affiliations with external brands, except for offering courses through AMZ VA Academy.
1.7 Promotional Activities
The Instructor agrees to participate in promotional activities such as TikTok Live sessions, webinars, and other initiatives organized by AMZ VA Academy, as reasonably requested by the Company.
1.8 Certificates of Completion
The Instructor may issue certificates of completion under the AMZ VA Academy brand, provided that applicable commission fees are applied, as outlined in Section 2.
2. Financial Arrangements
2.1 Commission Structure
The Company will collect a percentage-based commission on each student who enrolls in the Instructor’s course through the Company’s website, forms, social media platforms, or personal referrals. The commission structure is as follows:
- Instructor: 70% commission per student
- Admin Fee: 30% commission per student
2.2 Payment Processing
All course fees collected from students will be processed through the payment gateway, and the Instructor’s commissions will be automatically deposited into their instructor account. Please note that applicable processing fees for both withdrawals (which may vary based on the chosen withdrawal method) and payment gateway transactions may apply.
The Company will issue an official receipt for all payments received, in compliance with relevant tax regulations (e.g., BIR for Philippines-based instructors).
3. Obligations and Responsibilities
3.1 Compliance with Laws
The Instructor agrees to comply with all applicable laws, regulations, and industry standards relating to their courses, content, and marketing practices, ensuring adherence to legal requirements.
3.2 Quality Standards
The Instructor is responsible for ensuring that their courses and materials meet the quality standards established by AMZ VA Academy, and are aligned with the Company’s educational expectations.
3.3 Indemnity
The Instructor agrees to indemnify and hold AMZ VA Academy harmless from any and all claims, damages, liabilities, or expenses arising from their course content, course delivery, or marketing activities.
4. Term and Termination
4.1 Term of Agreement
These Terms will take effect upon the Instructor’s acceptance and will continue in effect until terminated by either party.
4.2 Termination
Either party may terminate this agreement by providing seven (7) days’ written notice to the other party. Upon termination, the Instructor agrees to immediately cease using AMZ VA Academy’s branding, platforms, and marketing materials.
Prior to termination, the Instructor must ensure that no active students remain enrolled, that all classes are completed, all required materials have been shared, and certificates of completion have been issued. The Instructor is fully responsible for fulfilling all obligations to students before the termination of this Agreement.
5. Miscellaneous
5.1 Confidentiality
Both parties agree to maintain the confidentiality of all proprietary, confidential, or sensitive information disclosed during the term of this Agreement, unless required by law or explicit permission is granted by the disclosing party.
5.2 Amendments
Any amendments or modifications to these Terms must be made in writing and signed by both parties. The Company reserves the right to amend these Terms at any time.
5.3 Governing Law
These Terms will be governed by and construed in accordance with the laws of the Philippines, without regard to its conflict of laws principles.
5.4 Force Majeure
Neither party shall be liable for any delay or failure in performance due to circumstances beyond their control, including, but not limited to, acts of God, labor disputes, technical failures, or other unforeseen events.
By using the AMZ VA Academy platform and offering courses through the Company, the Instructor acknowledges and agrees to these Terms and Conditions.
